Welcome to Hous.io ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

IMPORTANT: These Terms contain a mandatory arbitration clause and class action waiver (see Section 17) that affects your legal rights.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Services under applicable law
• Provide accurate and complete registration information
• Maintain the security of your account credentials

Hous.io provides a comprehensive home management platform that includes:

• Solar Analysis: Evaluate solar potential and connect with installers
• Contractor Marketplace: Request and manage contractor bids for home projects
• Renovation Tracking: Manage renovation projects, expenses, and photos
• AI Insights: Receive AI-powered home insights and analysis
• Document Management: Upload and analyze utility bills, inspection reports, etc.
• Vehicle Analysis: VIN-based vehicle analysis and insights
• Climate Risk Assessment: Understand climate risks for your property

4. Account Registration and Security

Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, illegal activity, or any reason we deem appropriate.

5. User Conduct and Prohibited Activities

You agree NOT to:

• Violate any laws, regulations, or third-party rights
• Provide false, misleading, or fraudulent information
• Impersonate any person or entity
• Use the Services for illegal purposes or unauthorized commercial use
• Upload viruses, malware, or malicious code
• Attempt to gain unauthorized access to our systems
• Scrape, copy, or reproduce our content without permission
• Interfere with or disrupt the Services
• Harass, abuse, or harm other users
• Create multiple accounts to evade restrictions
• Share your account credentials with others
• Use automated tools (bots, scrapers) without authorization

6. Content and Intellectual Property

Our Content

All content on Hous.io, including text, graphics, logos, images, software, and functionality, is owned by Hous.io and protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of content you upload ("User Content"). By uploading User Content, you grant us:

• A worldwide, non-exclusive, royalty-free license to use, display, and process your content
• The right to provide Services based on your content (AI analysis, contractor matching, etc.)
• The right to share content with third parties as necessary to provide Services

You represent that you have all necessary rights to grant this license and that your User Content does not violate any laws or third-party rights.

7. Third-Party Services and Partners

Solar Installers

When you request a solar quote, we connect you with third-party solar installers. We do not:

• Guarantee the quality or reliability of installers
• Endorse any specific installer
• Control installer pricing or terms
• Assume liability for installer actions

Contractors

Our contractor marketplace connects you with contractors, but:

• We do not employ or directly control contractors
• We are not responsible for contractor work quality
• Contracts are between you and the contractor
• We recommend verifying licenses, insurance, and references

Third-Party Links

Our Services may contain links to third-party websites. We are not responsible for their content, privacy practices, or terms of service.

8. Disclaimers and Limitations

AI-Generated Content

Our AI-powered features provide insights and analysis, but:

• AI analysis is for informational purposes only
• Results are not guarantees or professional advice
• You should verify AI-generated information independently
• We are not liable for decisions based on AI insights

Solar and Climate Data

• Solar potential estimates are approximations based on available data
• Climate risk assessments rely on third-party data sources
• Actual results may vary from projections
• Consult professionals before making significant financial decisions

Service Availability

We strive for 99.9% uptime but cannot guarantee uninterrupted service. We may experience downtime for maintenance, updates, or unforeseen issues.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Hous.io and its affiliates, officers, directors, employees, and agents are not liable for any indirect, incidental, consequential, special, or punitive damages
• Our total liability to you will not exceed the amount you paid us in the 12 months prior to the event giving rise to liability, or $100, whichever is greater
• We are not liable for losses resulting from:
  • Third-party services (installers, contractors, partners)
  • User errors or misuse of Services
  • Technical failures or security breaches beyond our control
  • Reliance on AI-generated content or analysis
  • Decisions made based on our Services

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Hous.io and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your User Content
• Your interactions with third parties through our Services

11. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.

12. How We Use Your Data, Including for AI

Your Content. You keep ownership of the information and files you add to Hous.io ("Your Content"). You give Hous.io a non-exclusive, worldwide, royalty-free license to host, process and display Your Content to run, secure and improve Hous.io for you.

De-identified Data and AI. Hous.io may create de-identified and aggregated data from Your Content and your use of Hous.io, combined with data from other users, so that it can no longer reasonably be linked to you or your household ("De-identified Data"). We may use De-identified Data, and may use Your Content internally, to develop, train and improve analytics, benchmarks and artificial-intelligence features. Hous.io owns De-identified Data and may use and share it for any lawful purpose, including in reports and data products for third parties. We will not try to re-identify De-identified Data, and we contractually prohibit recipients from doing so.

What We Don't Do. We do not sell your personal information. See Advertising and Analytics in our Privacy Policy for advertising cookies and how to opt out. Our Privacy Policy explains your rights and choices, including how to opt out of having Your Content used to train AI features.

13. Payment Terms (If Applicable)

If we introduce paid features or subscriptions in the future:

• All fees are in USD and exclude applicable taxes
• Payments are processed by third-party payment processors
• Subscription fees are non-refundable except as required by law
• We may change pricing with 30 days notice
• Failure to pay may result in service suspension or termination

14. Modifications to Services and Terms

Service Changes

We reserve the right to:

• Modify, suspend, or discontinue any feature or service
• Change pricing, features, or functionality
• Update technical requirements

Terms Changes

We may update these Terms from time to time. We will notify you of material changes by:

• Posting updated Terms on our website
• Updating the "Last Updated" date
• Sending email notification (for significant changes)

Continued use of Services after changes constitutes acceptance of updated Terms.

15. Termination

Your Right to Terminate

You may terminate your account at any time by:

• Deleting your account through account settings

Our Right to Terminate

We may suspend or terminate your account if:

• You violate these Terms
• You engage in illegal or fraudulent activity
• Your account is inactive for extended periods
• We discontinue Services
• Required by law or regulatory authorities

Effect of Termination

Upon termination, your right to use Services immediately ceases. We will delete your account and data within 30 days, except as required by law or these Terms.

16. Governing Law

These Terms are governed by the laws of the State of Utah, United States, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Salt Lake County, Utah.

17. Dispute Resolution and Arbitration

Informal Resolution

Before filing a claim, you agree to contact us at contact@hous.io to attempt to resolve the dispute informally. We will attempt to resolve within 60 days.

Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association (AAA), except as modified by these Terms.

Class Action Waiver

YOU AND HOUS.IO AGREE THAT DISPUTES WILL BE RESOLVED INDIVIDUALLY, NOT AS A CLASS ACTION, REPRESENTATIVE ACTION, OR CONSOLIDATED PROCEEDING.

18. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hous.io regarding the Services.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

Assignment

You may not assign or transfer these Terms. We may assign our rights without restriction.

Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control (natural disasters, war, terrorism, pandemics, internet outages, etc.).
